GRANT OF RIGHTS

As of the date written below, for the consideration set forth herein, Model and DP Photography hereby agree as follows:
Grant of Rights: Model, in return for the consideration of value received, releases the photographs and agrees to the following:
DP Photography shall solely and exclusively own all photographs and proceeds thereof, including all rights of whatever kind and character throughout the world and in perpetuity in any and all languages. Without limiting the generality of the foregoing, Model grants to DP Photography and its successors and assigns, the following specific perpetual and exclusive rights in connection with the photographs and proceeds thereof:
a. To reproduce all or any part of the Model's performances, acts, poses, and appearances of every kind made or done by Model in connection with the photographs;
b. To exhibit, sell, assign, transmit, and reproduce, and license to others so to do (whether by means of motion pictures, still camera photographs, television, televised motion pictures, video discs, video cassettes, video tapes, printing, any and all electronic publication, or any other means now known or unknown) any or all of the photographs;
c. To use the photographs in connection with the advertising and exploitation of the photographs, including without limitation, posting on the Internet or any other electronic medium, previews and trailers, one sheets, flyers, catalogs, and covers or wrappers, video discs, video tapes, video cassettes, print and television advertising, and in connection with the sale of any products by DP Photography relating to the photographs, and any other theme, plot or other elements or rights contained;
d. To use the photographs or any part thereof in connection with any project whatsoever and using any media whatsoever.
e. Edit, revise and retouch the photographs in any manner DP Photography may, in its sole and absolute discretion determine.
f. Model further grants to DP Photography, and its assigns, exclusively and perpetually, all now or hereafter existing rights of every kind and character whatsoever, whether or not such rights are now known, recognized or contemplated, and the complete, unconditional and unencumbered title throughout the world and in any and all languages in and to the photographs pursuant to this agreement. All such copyright therein to all material in the photographs is hereby conveyed to DP Photography.

WAIVERS

Waivers: Model understands and agrees that:
a. Contractual agreements between Model and DP Photography for the specific sale, distribution, or other use of the photographs shall be considered separate from "value received" as stated in "Grant of Rights" above and shall be made on an individual basis and mutually agreed upon by Model and DP Photography. All other rights, conditions, and waivers herein described fully apply to such contractual agreements.
b. DP Photography shall have no obligation to utilize the photographs.
c. Model shall have no right to inspect the use of the photographs in this or any other work.
d. Model releases DP Photography and its employees, and assigns from any and all liability for and by virtue of blurring, distortion, alteration, retouching, optical illusion, or use of the photographs which may hold Model in a false or unfavorable light, whether such action is intentional or otherwise.
Binding Arbitration
a. Arbitrable Claims. All disputes between Model and DP Photography (and their respective attorneys, successors, and assigns) of any kind whatsoever, arising from the transaction reflected in this Agreement ("Arbitrable Claims") shall be resolved by arbitration. Arbitrable claims shall include, but are not limited to, contract and tort claims of all kinds, and all claims based on any federal, state, or local statute, or regulation. Arbitration shall be final and binding upon the parties and shall be the exclusive remedy for all Arbitrable Claims. THE PARTIES WAIVE ANYRIGHTS THEY MAY HAVE TO TRIAL BY JURY IN REGARD TO ARBITRABLE CLAIMS.
b. Procedure: Arbitration of Arbitrable Claims shall be in accordance with the rules of the American Arbitration Association. The fees of the arbitrator shall be paid by the losing party, as identified by the arbitrator.
The undersigned certifies that she has entered this agreement of her own free will, and not under the influence of any drugs or alcohol or duress, nor under the inducement of any promise not set forth in this agreement. The undersigned represents and warrants that she is over the age of 18, and has read the foregoing and fully understands the meaning and effect thereof, and is fully authorized to execute this and fully intends to be legally bound. If the model is under the age of 18, a parent or legal guardian must sign that he/she has read the foregoing and fully understands the meaning and effect thereof, and is fully authorized to execute this and fully intends to be legally bound.
