I suspect this is likely a codec problem. Go to Download.com and install the K-Lite Mega Codec Pack, and see if that fixes your problem. Also, you'll want to upgrade to Vegas 9.

Vegas 9 is more stable and fixed a number of rendering problems I was having with previous versions.

As far as your audio problem, have you taken a look at the audio track to make sure it's being added to the timeline?
