I dont think its so much an issue of avoiding liability as much as it is a strategic move to remove all assets from Mansef and put it all into an overseas corporation that the US cant touch and would have no jurisdiction over.
I dont think its so much the Pink Visual lawsuit that made Masef liquidate and move, as it is the slew of lawsuits that will follow if Pink Visual, wins. Further more, the way things are going with copyright infringements running rampant and change towards holding copyright infringers acountable seems to be inevitable.
This is what may happen; If Pink Visual, wins Mansef will have a very sizable judgment against it. Thus forcing Mansef to file bankruptcy. A Bankruptcy court will see what assets are available to liquidate, In order to pay off this judgment. There will be no assets and no money from the sale proceeds in any US jurisdiction. So asset or money confiscation wont be likely.
Also Keep in mind the 9 million that the US seized from Brazers earlier this year can be seen as an asset that Mansef may still have after everything has been liquidated. This the court system may seize as an awardable judgement if Pink Visual wins. And that is only if Mansef can prove that the 9 million was wrongfully seized. Lots of "ifs" with that one.
Either way, if Pink Visual wins or looses this is a very good business move for Brazzers. This will close up all future liabilities and possible future asset seizures.
I hate to say it, but this is a genius business move on many different levels. What would make this move even better, would be to incorporate every single asset as its own company. Then have a few different "holding corporations" in different countries that maintain strict corporate veils. What this would accomplish, is complete business anonymity and the ability to move assets from corporation to corporation. If one company gets sued, move the assets and Bankrupt it. Nobody would see shit, and nobody would be able to touch shit, because of the lack of reach from one country to another.
The only thing that kind of baffles me is why didn't they do this way earlier? This is "International Business "101 and 1st semester "Corporations" stuff. We all know they have the money.
