Serious question though. I have never done much research on it but I thought incorporating in a state you don't live or do business in makes it so you can't take advantage of most of the benefits?
I'm curious how it works. Say you live in CA and incorporate in some other state where you have no physical office/store and don't do any business there.

Most companies incorporate in Delaware (because of their corporate friendly laws)...even without doing any real business in that State. All you need is an "agent" and a mail drop in that State. Some "agents" handle hundreds of thousands of corporations.
