    Best state to incorporate

    Hey everyone,

    Any opinions on the best state to incorporate the business behind a new adult website?

    I believe states require that the business be located within the boundaries of the state, and some don't.

    Considering the nature of the business, does it matter?

            Delaware is your best bet, 25% on corporate profits.

            Look into Puerto Rico for Act 20 & Act 22, if you can qualify for that, 4% tax ;)

                    NV or DE, mainly because if you ever got sued, they're the most business-friendly legally.

                    However, incorporating in NV has nothing to do with paying state taxes. Your domain is separate from the state you incorporated in (assuming you're doing an LLC, which you most likely should.) You still have to pay income taxes if your office is located in another state.

                    That's why I just moved to NV...

                        I am going with Nevada!

                        check out INCORP.COM to make some comparisons
                        you do not have to be in Nevada to form Corp in Nevada
                        you have to have a "resident agent" there INCORP has all info

                            If you ever get sued you will find out fast that your state of incorporation becomes the jurisdiction where you will have to hire an attorney to represent your corporation.

                            So, unless your profits that you pay taxes on are six figures or more the state you reside in will be the easiest domicile to be incorporated in.

                            Stay close to home and get a good accountant ...

                                  Fortune 500 companies have good reason to incorporate in Nevada or Delaware -- Wall Street underwriters require them to. Incorporation rules in those states make it easier for large public companies with thousands of shareholders to comply with certain securities law requirements.

                                  For the average small-business owner, these considerations don't apply. Unless you're doing business in NV or DE, most small business owners are unlikely to obtain tax benefits or additional asset protection.

                                  To have your personal assets protected from business-related liabilities, your business should be registered in the state where you're doing business. If you're registered out of state, there's no protection. Your personal assets are exposed.

                                  As for supposed privacy benefits -- because your business will need to register as a foreign entity in the state in which you do business, you'll have to disclose all of the individuals in management anyway.

                                          You don't need an in-state attorney.
                                          What you do have to have is an in-state Registered Agent. You can usually find them starting at $35 a year. CT Corporation is in all 59 states. They take care of the paperwork and send you a yearly bill. Several of the large corporations I worked for used them. Registered Agents are if the sate wants to send you legal papers and you don't have an in-state address.

                                          Delaware, Wyoming, Nevada are about the best and most have DYI incorporation papers.
                                          Usually to incorporate you need one person. Yourself or an agent.
                                          Then you file an Annual Report. You have to list stockholders owing 5-10% or more of the corporation.
                                          Then you have to file a federal and state tax return.
                                          Interestingly, Kansas just passed a law exempting a "S" corporation from ANY state income taxes. The rich Koch brothers are from Kansas and have extensive business holdings in Kansas. That law they got passed will save them millions, if not billions, in taxes.
                                          It might also exempt LLC's.

                                                    Do it in your home state UNLESS...

                                                    You expect to get investors or a fast sale. Then do it in Delaware.

                                                    Make sure you check your home state to see if they require you to fill out for business licenses to operate as a foreign entity in your state. Can cost a few hundred bucks extra.

                                                        Delaware, Nevada or Florida.

                                                        Delaware is the most expensive in terms of fees.

                                                        LLC's are basically transparent to the irs.

                                                        In Florida taxes and incorporation fees are pretty low for LLC with the added benefit of nominee directors aka anonymous registration bitches.
