Delaware LLC's

OK so those of you who have Delaware LLC's should note that your annual LLC Franchise tax is due by June 1st, not too many business days till then.

If you are following this thread https://gfy.com/showthread.php?t=1141039 then you know that if you don't pay then your company will not exist anymore, lol.

Personally I just paid 4 of those today, every year I have been doing it through the company that files the forms for me, but I noticed they were charging me $50 a pop for that service and with a handful of LLC's it adds up.

I looked around for an alternative and found a competitor offering to do the filing for $99 so obviously $50 is not the worst price out there.

However - I did happen to notice that you can do it directly to the state of Delaware here:

Unfortunately I didn't discover that till the last one, so by doing the research early I could have saved $150 but, next year I'll save $200 so it's better than nothing.

The filing companies send you a nice email with a link to pay through them so they can get that service fee, and they don't go out of their way to tell you you can pay online, in fact they almost hide it by making a notice on bold font that if you don't want to pay the service fee you can always mail a check. Personally I don't like to muck around with envelopes and stamps much besides I usually fuck up a couple of checks before I get one right, so I usually opt to pay the fee, but it's good to know its not necessary, maybe some of you can avoid that fee because of my mistake, good luck!

Is that auditor approved? If so I am getting fucked, I am paying almost $4500 for two companies here maybe I should move them to Delaware!

DE is a very popular place for LLC's, I understand it used to be even better than it is now, but as far as anything I have heard from my CPA and my lawyer, yeah it's legit. $250 a year in Franchise Tax and no other fees or taxes due as long as I don't set up shop physically in Delaware.

EDIT: Obviously Federal income tax, personal income tax, payroll taxes, unemployment etc. are separate, just in case anyone was thinking they weren't.

So that company can legally employ people outside of the country? Or just own other companies... perhaps I should talk to a lawyer specializing in that hah

btw the $4500 isn't even taxes, that just for the auditor to approve the accounts of both companies. Don't even get me started on the taxes!

Maybe I should talk to a lawyer again, maybe I am missing something but generally I don't employ anyone, I just pay commissions to affiliates overseas, and a few domestic contractors such as coders and content writers.

But don't you still need a secretary within the state of Delaware that can accept mail and process serving during business hours?

Yes, it's called a registered agent, most companies that set up the company for you offer the service, personally I tend to use incnow.com but I haven't shopped around a great deal. They charge me $99 a year to be my registered agent, and they also send me handy reminders whenever a tax or fee is due.

Any time, just don't use them to file the annual franchise tax, like I said they charge $50 for that and you can do it on the state website for free.

I don't know if I got the best deal, but I used this company and don't mind giving them a reference:
