Why terms and conditions really do matter...

A friend of mine forwarded me a link to the terms and conditions agreement for an affiliate program. She was considering signing up for the program, but a specific paragraph put her off. So, she asked a fairly simple question: ?Does this sound kosher to you??

As it turned out, the bit of tortured legalese pretty obviously wasn?t written by or for a company that operates adult entertainment websites. How could I tell? It includes a term effectively prohibiting adult entertainment websites from sending traffic.

Brilliant, right? What?s next ? launching an affiliate program promoting a site that sells books, but that also prohibits its advertising affiliates sending traffic from their book-review sites?

love the title. but hey, companies need a reason to be able to terminate the account and keep affliate earnings. any reason, but as long as its in there, their ass is covered

It's called a called a ''contract of adhesion'' and is very common on the internet. I have never heard of a contract without a severability clause -- the whole contract could be nullified in court if there is no severability clause -- that's why it is included in the contract's covenants.

Lots of businesses exclude any relationships with adult content websites so that is nothing new.

Contracts of adhesion are take-it-or-leave-it, there is no negotiated alternative. Not withstanding ''unconscionable,'' contracts of adhesion are binding -- just walk away if the terms offered suck ...

Hustler's T&C prohibits affiliates from using any of the Hustler trademarks in source code. It's silly considering all their affiliate links contain the Hustler trademark.
