PASADENA, Calif. (CBS.MW) - Overture Services shares swooned in pre-market trades as the Web search technology specialist lost its deal with America Online, even as it said it'll post better-than-expected second quarter profit.

AOL (AOL, Trade) said it tapped Mountain View, Calif.-based Google for its search services. Terms of the deal were not disclosed.

Shares of Overture are slumping $9.45, or 28 percent, to $24.74 in pre-open trading over the Redibook ECN on Wednesday morning.

Overture is excited to announce the renewal of our Pay-for-Performance search agreement with Yahoo! for the next three years. Our search results will continue to appear on Yahoo! at www.yahoo.com.

We are pleased to have secured long-term agreements with two of the most popular destinations on the Internet - Yahoo! and MSN. Both Yahoo! and MSN are leading Internet providers and reach millions of users. These agreements, along with our strong network of affiliate partners, allow you to reach 85% of all Internet users.

Earlier today we announced that our U.S. search distribution relationship with America Online has ended, including AOL, AOL.com, and Compuserve. Netscape is scheduled to end in August. Although some advertisers may experience a nominal decrease in paid leads, we believe that our reach remains unmatched. Overture will continue to provide its search results to AOL Europe's Internet properties in the UK, Germany and France.

The strength of our affiliate network, which includes, Yahoo!, MSN, AltaVista, Lycos, Infospace, AskJeeves, and CNET, allows Overture to deliver the quality and quantity of leads you've come to expect from us.

We are committed to your success and look forward to continuing to deliver the highest return on your advertising investment.

Sincerely,

Ted Meisel, President and Chief Executive Officer
Jaynie Studenmund, Chief Operating Officer

They sound scared

Just got that too. They could have signed for 20 years it still wouldn't make up for the loss of AOL
