It looks like they're claiming the PHP and even HTML/CSS in themes are GPL to me, even in commercial themes. How else do you interpret it?

This means that, except for ethics, there's no stopping you from buying a a wp "premium" theme or plugin, and then resell or give it away.

No way that will work in court, if done correctly the only code that a theme would contain is wp_xyz() function call... which is really just a label...
