How much did Playboy buy GFY + Adult.com for?

Playboy is a public company, so this information must be disclosed. Has anyone looked into the numbers to see how much it was sold for?

8 Characters 10-12-2005 11:19 AM

something with a lot of zeros on the end of it

wha wha wha 10-12-2005 11:21 AM

I could see more of a partnership thing happening, not an outright sale

Thurbs 10-12-2005 11:22 AM

not positive, but I believe that the requirment to disclose purchases comes at the end of a quarter, but again, not positive.

I think it's safe to say that the exact number will have no bearing nor will it have any affect on your life what so ever.

BradShaw 10-12-2005 11:27 AM

It will come out in SEC filings at some point.

Right Stuart, of course it won't, but you know how curiosity killed the cat, so ;)

Brad, right, but how long will that take? I would have thought they had to put out a SEC release immediatly so the shareholders could take a look at the numbers right away.

It does not make sence if it is delayed for several weeks/months from a shareholder standpoint.

Thurbs 10-12-2005 11:42 AM

well if u really need to know, go signup at MarketWatch.com or Edgaronline.com .. I see lots of filings in the past weeks listed on both.

So maybe its been filed but not on public display yet for all the details. Remember Playboy = PLA and adult.com would most likely be ICS if there were acronyms :)

Most companies file an 8-K/A form within 90 days of an acquisition.

Why does it always have to be a bunch of zero's why not a bunch of nine's? :upsidedow

pornguy 10-12-2005 11:45 AM

Could even be some 8's with a few 7's and 9's in the mix.

From yesterday's Playboy 8k:

Entertainment

Last week we signed an agreement with Comcast for distribution of our movies on that company's VOD platforms and of Playboy TV as a SVOD service. We expect the roll out to begin this quarter.

Additionally, we recently acquired ICS Inc., an online distribution business with an extensive affiliate network. We expect this acquisition to create opportunities to promote our web sites to a broader audience and to roll out new products, sites and distribution outlets.

slapass 10-12-2005 11:49 AM

This is what there 8k said about it -

"Additionally, we recently acquired ICS Inc., an online distribution business with an extensive affiliate network. We expect this acquisition to create opportunities to promote our web sites to a broader audience and to roll out new products, sites and distribution outlets."

BradShaw 10-12-2005 11:51 AM

I know nothing about SEC filings. I really doubt that much $ changed hands up front. But who knows, Lens is a smart businessman.

Drake 10-12-2005 12:06 PM

They used the barter system. Lensman accepted two cows, a goat, and a mule in exchange for adult.com

This is correct. Except the "A" at the end of the 8-K/A is for an "amendment".

iBanker 10-12-2005 12:14 PM

And for those of you looking for any stock issued in the transaction on www.sec.gov, you will want to look for a Form S-8.

Right, the compensation will be listed, I guess it's just a matter of when? So I assume it has not been released yet?
