if this turns out to be true it doesn't mean the US government's or TopBuck's lawsuits are going away. not sure how the TopBucks lawsuit would affect a new owner, the lawsuit is against the parent company.
i'd rather have webcams.com than Brazzers, too much legal liability with the tube sites and Brazzers paysite operation is expensive and so dependent on spending that same money and keeping a production staff in place that maintains the quality. we've seen major paysite programs who have lost their mojo for various reasons. webcams.com is more predictable.

Well, did they buy the company or the assets of the company? If they bought the assets of the company (websites, domains, etc) and the lawsuit is against the company that holds those assets, then it seems to me that the lawsuit would not affect the new owners.

So what's all of this liability not being transferred?
Part of any acquisition is due diligence including sniffing out existing and even potential lawsuits so that you do not end up assuming unknown liabilities.
Perhaps things have changed or I'm not as versed in International acquisitions as I had hoped.Comment

It was either a due diligence gaffe or they know more about what's going on, on the legal end, than we do and the move is tactical. The latter is likely the case but you never know.So what's all of this liability not being transferred?

Lawsuits are a liability on the books... ie net worth minus liabilites and are calculated into the worth of a company. Lawsuits in business are a just that Business. Check At&T or any major corporation and see how many lawsuits they have against them and they are always listed as liabilities or potential loses on the books.
This aint a criminal suit its a business civil suit.
It would have been figured into to the sale of the company. A check might have been written to Pink Visual and the US Gov that same day. It might have been part of the settlement who knows.
I am sure in the next little while you will hear.
But it does tell you one thing that there is still a lot of money in this business and that there is a strong belief that there will continue to be...

I dont think its so much an issue of avoiding liability as much as it is a strategic move to remove all assets from Mansef and put it all into an overseas corporation that the US cant touch and would have no jurisdiction over.
I dont think its so much the Pink Visual lawsuit that made Masef liquidate and move, as it is the slew of lawsuits that will follow if Pink Visual, wins. Further more, the way things are going with copyright infringements running rampant and change towards holding copyright infringers acountable seems to be inevitable.
This is what may happen; If Pink Visual, wins Mansef will have a very sizable judgment against it. Thus forcing Mansef to file bankruptcy. A Bankruptcy court will see what assets are available to liquidate, In order to pay off this judgment. There will be no assets and no money from the sale proceeds in any US jurisdiction. So asset or money confiscation wont be likely.
Also Keep in mind the 9 million that the US seized from Brazers earlier this year can be seen as an asset that Mansef may still have after everything has been liquidated. This the court system may seize as an awardable judgement if Pink Visual wins. And that is only if Mansef can prove that the 9 million was wrongfully seized. Lots of "ifs" with that one.
Either way, if Pink Visual wins or looses this is a very good business move for Brazzers. This will close up all future liabilities and possible future asset seizures.
I hate to say it, but this is a genius business move on many different levels. What would make this move even better, would be to incorporate every single asset as its own company. Then have a few different "holding corporations" in different countries that maintain strict corporate veils. What this would accomplish, is complete business anonymity and the ability to move assets from corporation to corporation. If one company gets sued, move the assets and Bankrupt it. Nobody would see shit, and nobody would be able to touch shit, because of the lack of reach from one country to another.
The only thing that kind of baffles me is why didn't they do this way earlier? This is "International Business "101 and 1st semester "Corporations" stuff. We all know they have the money.

I dont think its just one issue making this happen. Im thinking it is a combination of a lot of issues. And a move like this would definitely prevent a bunch of possible future issues.
