It?s amazing how some of the States have automated the process. In Nevada, you do it online and upon completion of checkout, you get a link to a PDF file with your ?Job History?. The ?Job History? contains your corporate documents, business license or exemption from business license, etc. The process is instantaneous and painless.

1. Consult with your CPA. Setting up the wrong type of corporation could cost you a lot in taxes. Almost everyone fails to do this, then when it's time to do taxes your cpa will say "why did you do an s-corp or c-corp etc. you should have done..... "

There is no one size fits all. I've had CPA and Attorney advise me to go with an LLC vs INC C-corp. I'll take their advice over Sally Rand's blank statement that C Corps are best way to go. How you incorporate depends on your situation, business etc.. there is pros and cons that need to be determined depending on the situation. A CPA is the best to tell you from a Tax standpoint, a lawyer is best from a liability/legal standpoint. If you know a lawyer or already use one they can answer that question for you without having to set up anything for you and charging you to do it.

I wrote that "individual" or personal taxes can be completely avoided through the use of a C Corp, which they clearly can.

If you incorporate online with ANY state you MUST also have a Registered Agent, physically located in the state of incorporation and that is where most of the online incorporators get you................

They will provide Registered Agent service for 6 months and then bill the Hell out of you for the remaining 6 months.

Don't pay it and your corporation will then lack "Good Standing" and you are fucked.

My service provides for a Registered Agent for the initial one-year life of the corp and continued RA service when the corp is renewed through my service.

As I have written many times, I do NOT rely on SEO traffic; preferring more direct marketing approaches.

Well, that method hides you really well and pretty much indicates that you have a "closely held" corporation, which does a very poor job of keeping you shielded by the corporate veil but you do what you like.

When you incoporprate in a given state, your resident agent must be physically located in the state of registration. Example: if you live in Cali and incorporate in Delaware, you cannot be your own registered agent as you are not physically located in Delaware and must therefore pay for reigistered agent service in Delawre, thus adding to your cost.

This is true for all states and a P.O. Box is not acceptable. Physical address only.

OK, you do not actually have to do biz in the state in which you incorporate. You maintain the officail addy of the corp in that state and use your corp docs, EIN, etc to open bank accounts in your home state, although your home state may require you to register as "foreing corporation". You can generally use a PO Box in your home state for this purpose or a box at the local UPS Store.

The benefits apply to the corporatioin, regardless of where and how it does biz.

There ultimately is no way to hide who you are. You could always start a new INC and make the owner another INC, but that train will stop somewhere, and your name as the owner will be given. besides, if you did something to be sued, any decent lawyer is going to find out who owns the company. There is nothing wrong with putting yourself as the agent. I know good attorneys who start a new business and list themselves as the agent. INC's are not bullet proof anyway, it's not impossible to pierce the corporate veil especially if you did something illegal. Not so much for out standing debts of the company, but if something major happens there is a decent chance they going to get you.

It is entirely possible for you to be able to control and run the corporation in complete anonymity and in such a manner that only a court order or valid subpoena issued by a court of competent jusridiction can delve in. You do not even need to own any stock in the corp to be able to control it if and only if you know what you are doing.
