.

That the company is suspended, and the agent resigned in 2011.

True, I'm also from EU. However, I would be really surprised if you can legally continue running a company in USA while it is in suspended mode.

You have no idea what you are talking about.

This has actually happened to me more than once, running a handful of LLC's and moving around a lot, things get lost in the shuffle.

The "agent" is usually a registered agent service used by people who want to incorporate for whatever reason in a place they have no physical presence. The service costs around $99/year and all it does is forward any government communications. If you don't pay then it would show as "resigned".

The same with a company "suspended" status, that usually means a report or tax was not submitted, and yes, you can continue to run your business no problem, the only time it comes up for review, in my experience is if you try to get new merchant processing in that jurisdiction. This is how I found out it happened to me.

As much as it would tickle me to learn that they were done, this does not indicate that. All it indicates is the usual sloppiness, incompetence, inattention to detail and failure to pay on time that has become Zombaio's trademark.

When a California corporation is suspended, the corporation has lost all of its rights and privileges and cannot legally operate. Technically, the corporation is required to close its doors, and to stop all business related activity. A suspended California corporation cannot sue, or defend, any action in court. In addition, a suspended California corporation that provides a service, or goods, to third parties while suspended may not be able to collect payment for such services and goods since the suspended California corporation technically was not permitted to engage in any business transactions. For a suspended California corporation to once again achieve good standing, the California corporation must be revived.

This page also says the company cannot conduct business while being suspended.

Yes, you have NO IDEA. I have had numerous occasions where LLC's expired. You pay the renewal fee, a small penalty and rock on.

See post #46 by pompousjohn for another example.

Obviously you have some personal agenda at work here, believe what you want.

OK so, the vast majority of Belgian businesses can't conduct business in California, some are suspended, others never even registered. I don't think any of them worry about it. Until they try to open a corner store in San Francisco and accept cash payments for porn site access it's not going to be a problem.

So it is a situation where you are hoping that your clients/suppliers/business partners etc won't notice that technically your company doesn't exist (at that moment).

A Zombie so to speak..

misspandora 05-21-2014 07:59 AM

Seriously! If they can't afford to pay the $800 yearly California franchise corporate tax, they might as well be dead in the water.

No it's not. In most cases it's just an oversight. An oversight that does not affect the business or it's day to day operations. A corp forgets to pay a renewal fee, so what?

Why are you so obsessed with this?

Does not affect the business?

Sorry if this might sound a bit rude. Which part of the following do you not understand?

You really think the above doesn't "affect business"? :helpme

My only "agenda" is that I'm telling that we have all been "Mallick'ed". Zombaio merchants' money has been used (illegally) to fund the startup Pizza24.com / Pizza24.se

What's your agenda?

I don't have a dog in this fight.

Just pointing out how minor this franchise fee issue actually is, having experienced this before.

As far as anyone losing money I hope that doesn't happen.

Me too. Although I am already on the victim list.

Well for example, it's been 3 years and so far you are the first person who noticed.

You are literally making a big deal out of nothing, I mean, I am not defending Zombaio, I do agree with most of the mean things people will say about them. But this is really nothing. It's like calling someone bankrupt because they didn't renew their vehicle license registration.

Maybe they don't have an office or plans for one in California anymore? Sure, the smart thing would have been to remove that contact info on their main page 3 years ago but we're talking about Zombaio here.

I have been guilty of much worse oversights. Of course I don't pretend to be a payment processor, and the only person I can mess things up for really is myself and a handful of independent contractors, but all the same, delinquent paperwork notwithstanding, I am very much still in business and I am sure they are too.

Zyber 05-22-2014 07:33 AM

UPDATE. So it seems Zombaio staff is reading GFY after all.

Since yesterday the copyright statement has silently been changed from

Quote:

? Copyright 2007-2014 Zombaio Payment Services, Ltd. - All rights reserved.
to

Quote:

? Copyright 2007-2014 Zombaio LLC. dba Zombaio Payment Services - All rights reserved.
http://i61.tinypic.com/2v95dl0.png

The contact addresses have also been updated. But seems they forgot to update the non-existing "Zombaio LLC" in Sweden. Haha :upsidedow

This editing is similar to when Zombaio silently changes the payout dates in their system, so it looks like they are not behind with their debts.

And Samport Payment Services AB is supposed to be a serious financial institution? :1orglaugh
