If the SHTML is generated by the software that is licensed to domain1 and is in turn used on domain2, you're likely in violation of their DOMAIN BASED license.

its the same thing as using a frame... i can use a frame and I can hotlink... therfor I'm not violating anything....

You may want to seek a lawyer before putting this into practice. A virtual include is not like a frame, it's actually displaying it as if it were from the new domain. But, with all that money you have, just buy an unlimited license.
