So the xBiz article was pretty accurate, the rest of the deal seems to include payments that are contingent based upon earnings goals being met. 8 million cash on the deal closing, 2 mill in a year, 2 mill 2 years after. You can't include money thats not guaranteed. Can't blame them for writing the article the way they did...

the link above is the public disclosure. technically speak, present day value is less than 12 million when you factor in the time value of money since 4 million is deferred.

Either way, you gotta give props to a smart businessman who implemented a great exit strategy. Most people in his shoes, it would be extraordinarily difficult to find a buyer to cash out, and he did. He also still gets to maintain control and the opportunity exists for him to make even more money.

Anything that is contingent upon earnings is not additional payouts to Lensman until he earns it. He could decide to say fuck it and retire to Fiji or somewhere like that with the 12.

From reading the filing I thought the 12 million was contingent on performance goals being met that at the time of the filing had not been achieved.

But whatever - that is between Lensmen and Playboy and Playboy's investors.

I just know that the article/interview about Homegrown in the most recent Xbiz was absolutely cool...
