Services for setting up Nevada corporation and bank account?

We've long been a Canadian company but we're seeing the value lately in setting up a Nevada/Delaware etc US corp and bank account. I know there are a lot of services out there who can provide this for us without us actually going to the state, but I'd like to know if anyone has any good or bad experiences with any company as such that they can share / recommend?

I have personally looked into this, you need one of the company directors to be a US resident to open a bank account.

That doesn't make sense to me - I can, as a Canadian "inc." open a bank account in the US without living there so I feel like it wouldn't make sense for a US corp to need to prove that a director lives there - Any chance this is just a policy with the bank you encountered?

Regardless, my partner has a green card so it wouldn't be an issue, I'm just curious if that's true or not.

Banks don't deal with business based on what makes sense, and yes I tried multiple.

Any other suggestions? I contacted legalzoom with some specific questions and all I received in response 18 hours later was a form mail stating all of the basics which were not what I was asking about. Doesn't make me want to give them my money or have them creating legal docs with my name in them.

It has to do with anti-money laundering and know your customer laws.

Fly down to Delaware with your articles of organization and open a bank account.

What has to do with anti money laundering? The ability for a Canadian corporation to open a US Bank account or that a director of the company has to be a resident of the US to open a bank account whether the company is a US or Canadian Corp?

I'm not sure what I would fly to Delaware for, I could setup a corporation in Delaware or Nevada online and then drive over the border to the nearest bank (about 40 mins from my place) to open a bank account, granted I'm sure I can do that online as well, it's just a matter of if I can do it with a Canadian company or if I need a US company for that.

We used legalzoom for our Nevada Corp and our living trust which owns the Corp.

Walked into wells Fargo for the account. Green card will suffice.

The guy that runs it is Robert Harris. Very easy to deal with and gets stuff done. I have used him since about 2005.

I've used Incorp for incorporating in the US, their support is quite good. I am based in Canada, and the only reason was to get a US business bank account to get payments directly from billing companies. I've used Legalzoom recently to register trademarks, and they were pretty good for that, but their support was a little slow when I had questions.

I think its been covered already. I would not suggest allowing any service to have access to the bank account. You can find a registered agent or use an attorney
for one for the corp stuff

There are plenty of services that will do what you want.

As a Canadian, you are also able to open a US personal bank account. form a corporation, file/call for a tax ID number, and open a US corporate bank account, all as a visitor/tourist.

Just two questions:
- if the company is incorp in delaware and none owners are us residents. How can i open an account in the us? Do I have to fly to Delaware or can I just go to Platabourg ( from montreal). Or there is no need at all?
- is it easier to open an account of a delaware company in canada? Or it ahould be opened in the US?

I will just paste this reply from the other thread I just posted in:

Yeah, most people don't get that incorporating in Delaware Nevada or wherever doesn't have any advantages over any other state. You still pay taxes where you live. To open a bank account in the corporate name in any state you have to register with that State's Secretary of State as a Foreign Corporation which will trigger the same taxes you would have to pay if you just would have registered it there in the first place. Finally you are declaring to the whole world that Delaware is where you want to be sued. So even small claims can be brought against you in Delaware and you have to respond. Incorporate where it is most convenient for you to do business. If your Canadian it is probably some border state.

Nevada has higher than average fees btw.

You also have to pay someone to be your registered agent that is physically located in the state.

Thanks. Well I am ok with being taxed in canada for my personal income (from what the company pays). Correct me if i am wrong, but my partners live outside Canada and sending them the money would be taxed as dividend, which would not be the case in Delaware. That is why we would be doing it there.

Ok, I live here in Vegas, so I can, as a resident be your agent. But I seriously and sadly do not recommend Incorporating in Nevada. With the Dawn of this Depression taking it's tole, Nevada is ever leaning on it's corporations, and many corporations have pulled out because of it. I understand Wyoming is now the best place to incorporate.
