How much did your cpa charge for getting incorporated?
Mine charges $950
Does this sound average? Here's the breakdown: File articles of incorporation, complete corporation book (stock certificates, organizational minutes, draft by laws, corp sea, etc) $495 Domestic Stmt filing $50 Corp Federail id numbers $60 First annual meeting and elections (fill out corp book) $175 Elective forms Federal S Corp $85 State EDD Id number $60 100 ES form for franchise tax board $25 Total $950 Does that sound about right? |

Articles of Incorpration in oregon are $75 and get you your state id number. None of the other stuff is required. The Corp Federal ID is a form you can fill out online for free in about 2 minutes. The S-Corp form is a form you can mail in and fill out in about 1 minute. The only 3 things you need are a federal ID, state ID, and S-Corp election. Total price, $75, time to file, about 15 minutes. So I would say that's on the high side. |

Best place around is http://www.corporate.com they cost about $500 for everything and that includes resident agency for 6 months.

Cost me ZERO dollars... I did it myself.
I'm sorry to hear that man...you coulda done it all yourself and just paid the application fee of 100 bucks or so. Live and learn. I think I paid an accountant $350 when I incoporated my first biz 10 years ago... I knew better this time around :) |
my good ones my attorneys did for me and those were about a G a pop. the shitty throw away corps i do online for $350.
dont fuck around, dont listen to idiots. get a proper attorney to do it, if its a company that you plan to keep around for a while. |

If I do it myself how do I "complete corporation book"? Also, he told me not to incorporate in NV, but in the state where I reside instead which is California. |
I paid $450 online not counting various state filing fees/permits, etc. However, today we paid a $750 retainer to have him setup the company to pay as an elective scorp, maintain our books, etc.
Be smart nad make sure everything is covered...Pay the G :) |
$250

When you file for your corp ID you actualy get it right away online now. It takes like 5 mins.
To file to S-Corp its tiny little 1 page form. Takes less than 2 mins to fill out. |

I got charged 550.00 in 2000.
Sounds about right. |
Also, one last question, if I pay myself a salary, and then if I want to take out the rest of the corporate money to my personal account, can I just transfer it, or is there some other process for that?
|
If you want to pay $950 for something you could do yourself go ahead.
Who needs an attorney when they will send you all the forms to fill out? If you can read and write you can save yourself some cash. If you're rollin in the dough and don't have time...sure, pay someone else to do it. The end result will be the same. |
I am in the USA.
My CPA (who is very very good and normally does doctors, lawyers, etc) told me that the additional bookkeeping costs with his office would be about $3000 a year. That it required totally different bookkeeping (meticulous) than the shoebox of receipts and the scribbled notes I give him once a year and I probably wouldn't be able to keep the paperwork up.) I only pay him about $700-$900 a year for doing my taxes this way. He knows what I do, he has done my taxes for maybe 15 years since I had a retail store. He is very good and I trust him 100%. It wasn't the cost of incorporation, it was the difference in bookkeeping. And I don't have extra hours in the day to do weird extra bookkeeping. |
That said, getting a taxpayer ID so you don't have to give your social security number to every "fly-by'night" sponsor is worth it. Free online or my accountant did it free, also.

Nowadays if you pay more than $100 for everything including tax ID you paid too much. You can do it yourself, get a paydex down the line and start applying for big corporate credit accounts and LOCs etc. Many without a PG. |

I have a question, is the "corporate federal id number" the same thing as an EIN? or tax id number?
Also, I know I can file incorporation online but what about "stock certificates" and "corporate seal" and "organizational minutes"? Is that something I can do too? |

I think you should seriously consider making a research purchase.
http://www.amazon.com/Incorporating-...6472252&sr=8-6 Forming the actual corporation is the easy part, knowing what to do with it later is the tough one. Make good friends with your Accountant and Attorney. Check your local area for Small Business forums/classes which meet monthly or whenever and find some like minded persons who are growing as well. |
I did it myself, here in Vegas for less than $200.
Nevada sucks though, they charge around $200 a year to stay registered. |
